ViBa — Terms & Conditions

About ViBa: ViBa is an alpha‑stage poultry farm management web app. It is a demo/pre‑release service, not a registered company offering commercial services. These Terms govern your use of ViBa.

1) Acceptance

By creating an account or using ViBa, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2) Who may use ViBa

You must be at least 18 years old and able to form a contract under Kenyan law. If you use ViBa on behalf of a farm, you represent that you are authorized to do so.

3) Your account

Keep your login secure and your information accurate. You are responsible for activity under your account.

4) Your content & license to us

You own the data you enter (e.g., flock records, inventory, health notes). You grant us a non‑exclusive license to host, process, back up, and display your content solely to operate, maintain, support, secure, and improve the Service. We may also generate and use anonymized, aggregated insights derived from user data (such as regional breed performance, disease trends, or market patterns) that cannot identify any individual user or farm.

5) Our intellectual property

ViBa and all related technology, designs, algorithms, diagnostic engines, branding, and documentation are owned by us or our licensors. Nothing in these Terms transfers any intellectual property rights to you except the limited right to use the Service.

6) Data visibility & locations (important)
  • Because this is an alpha demo, authorized ViBa administrators can view your data to provide support, troubleshoot issues, and improve the app.
  • ViBa runs on Google Cloud infrastructure. Your data may be processed and stored in the United States.
  • We do not sell your data or share it with third parties for their independent use.
7) Acceptable use

Do not use ViBa to break the law, infringe others' rights, harm animals, or attempt to disrupt or reverse‑engineer the Service. Do not upload unlawful, offensive, or malicious content.

8) Alpha/beta disclaimers

ViBa is provided "as is" in a demo state. Features may change, data may be lost, and the Service may be unavailable without notice. Do not rely on ViBa for critical decisions without your own independent checks (e.g., veterinary or financial advice).

9) Feedback

If you send ideas or suggestions, you grant us permission to use them without obligation or compensation.

10) Third‑party services

We may use third‑party processors (e.g., Google Cloud) to provide the Service. They act on our instructions and do not get rights to your data for their own purposes.

11) Termination & account deletion

You may stop using ViBa at any time. You may delete your account via the profile settings in the app. Upon deletion, your data will be removed in accordance with our Privacy Policy. We may suspend or end access for any reason, including misuse or risks to security. We may delete data at any time as part of the alpha program.

12) Disclaimers & limits of liability

To the maximum extent permitted by Kenyan law, ViBa is provided without warranties of any kind. We are not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising from or related to your use of the Service. Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the greater of KSh 10,000 or the total amounts paid by you to us in the 12 months preceding the claim.

13) Indemnification

You agree to indemnify, defend, and hold harmless ViBa and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.

14) Force majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, power or internet outages, government actions, pandemics, or acts of third parties.

15) Governing law & dispute resolution

These Terms are governed by the laws of Kenya. Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us. If the dispute is not resolved within 30 days, either party may pursue formal proceedings in the competent courts in Kenya.

16) Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms to any successor in interest (including through merger, acquisition, or sale of assets) without your consent.

17) General

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any right or provision does not waive that right or provision. These Terms do not create any third‑party beneficiary rights.

18) Changes

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you (e.g., in‑app notice). Continued use after the effective date means you accept the updated Terms.
